Terms of Service

These Terms of Service ("Terms") govern access to and use of the eListSync website, documentation, operator application, APIs, and related services (together, the "Service") operated at elistsync.com. By visiting the site, creating an account, connecting a marketplace, or otherwise using the Service, you agree to these Terms, our Privacy Policy, and — where you process personal data through the Service — the Data Processing Addendum.

If you use eListSync on behalf of a company or other organization, you represent that you have authority to bind that organization. "You" and "Customer" then refer to that organization. If you do not agree, do not use the Service.

1. Who we are

eListSync is a multi-channel listing and inventory product. We help merchants ingest a product once, normalize it into a canonical catalog, and publish to the seven destinations we actually operate today: Shopify, Amazon SP-API, TikTok Shop, WooCommerce, Medusa (and compatible custom REST Admin APIs), Walmart, and eBay.

The marketing site, documentation, and operator app are part of the same Service. Some operator features may be marked Coming Soon until we open workspace access. A feature listed as coming soon is not a current contractual commitment to a delivery date.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of registration details, for keeping login credentials confidential, and for all activity under your workspace.

You must promptly notify us at support@elistsync.com if you believe an account or API key has been compromised. We may refuse, suspend, or reclaim usernames and workspaces that impersonate others, violate these Terms, or present a security risk.

3. The Service

eListSync provides software for:

• Product ingest from a public URL, document upload, or optional browser-extension capture
• Schema normalization into a canonical product and variant model (title, brand, price, currency, images, GTIN/MPN, Size×Color and similar matrices)
• Per-channel transformers that publish to the seven destinations named above
• Inventory reconciliation using webhooks, polling workers, and atomic locks so two channels are less likely to oversell the same SKU
• Sync logs, destination health checks, and circuit breakers that isolate a failing channel instead of blocking the rest

We do not operate your Shopify shop, Amazon seller account, TikTok Shop, WooCommerce store, Medusa instance, Walmart seller account, or eBay store. Those platforms remain third-party services with their own terms, fees, and approval processes. Brand registry, tax, shipping templates, listing policies, and marketplace onboarding happen on the marketplace — not inside eListSync.

We do not claim adapters for Etsy, Square, Wix, Shopee, Lazada, Mercado Libre, or ad-feed networks. Custom REST is only for a storefront Admin API that you operate (for example Medusa).

4. Plans, billing, and taxes

Current public plans are published on /pricing:

• Hobby: $0, 50 products per month, 2 connected channels, no credit card
• Pro: $49 per month, or $39 per month when billed annually, for higher volume and more destinations
• Enterprise: custom commercial terms

Plan limits, features, and prices may change with notice on the site or by email. Paid subscriptions renew until cancelled. You authorize us (and our payment processor, when billing is live) to charge the payment method on file for the selected interval.

Unless required by law, fees are exclusive of taxes. Refunds, if any, are handled case by case for unused prepaid time after a material outage that we caused and could not reasonably mitigate. Free Hobby usage is provided as-is and may be rate-limited.

If the operator app is not yet open, you may still browse the website and docs. Charging begins only when a paid plan is activated on your workspace.

5. Your content and catalog

You retain ownership of product titles, descriptions, images, variant data, and other catalog content you submit ("Customer Content"). You grant eListSync a limited license to host, process, transform, and transmit Customer Content solely to operate the Service for you — including sending payloads to the destinations you connect.

You represent that you have all rights needed to submit Customer Content and to instruct us to publish it, including licenses for images, brand names, and any personal data that appears in listings. You are solely responsible for the accuracy of prices, stock, GTINs, and compliance copy on each marketplace.

Canonical schemas and sync payloads you create remain yours. eListSync retains all rights in the platform software, documentation, trademarks (including the eListSync name and cart mark), and anonymized operational telemetry that cannot reasonably identify you.

6. Channel credentials and acceptable use

You supply OAuth tokens, API keys, and similar secrets for each destination. Those secrets are stored for the purpose of publishing and inventory sync. You must use credentials that you are authorized to use, rotate them if leaked, and disconnect a destination when you no longer need it.

You will not use eListSync to:

• Violate a marketplace's terms, robots rules, or rate limits, or to scrape sites you have no lawful right to access
• Exfiltrate personal data without a legal basis, or use the Service to send spam or malware
• Probe, overload, or disrupt our infrastructure or any third-party API beyond documented use
• Reverse engineer the Service except as allowed by mandatory law
• Resell the Service or share a single Hobby/Pro workspace as a white-label product without an Enterprise agreement
• Circumvent plan limits, circuit breakers, or authentication

We may throttle, queue, or reject jobs that trip a circuit breaker, fail a destination health check, or look abusive. Failed publishes are written to sync logs; we do not silently invent a successful listing.

7. Third-party services

Shopify, Amazon, TikTok Shop, WooCommerce, Medusa, Walmart, eBay, hosting providers, and payment processors are independent of eListSync. Their availability, API changes, and policy enforcement are outside our control. A destination outage, 429, credential expiry, or marketplace rejection is not a breach of these Terms by eListSync.

Links on our site to social profiles (Instagram, Facebook, TikTok) or documentation of third-party APIs do not make those parties our partners unless we say so in writing.

8. Beta, coming soon, and changes

We may offer preview features, labs, or Coming Soon pages. Preview software may be incomplete, rate-limited, or withdrawn. We may modify or discontinue parts of the Service, including destination adapters, with reasonable notice when a change is material to paying customers.

We may update these Terms. The "Last updated" date and version (v2026.2.0 and successors) will change. Continued use after an update constitutes acceptance unless applicable law requires affirmative consent. If you do not agree, stop using the Service and close your workspace.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELISTSYNC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that listings will be accepted by a marketplace, that inventory will never oversell in the presence of third-party lag, or that the Service will be uninterrupted. Channel outcomes depend on third-party APIs, your credentials, and the quality of source data.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELISTSYNC AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.

OUR AGGREGATE LIABILITY ARISING OUT OF THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO ELISTSYNC FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. IF YOU USE ONLY THE FREE HOBBY PLAN, OUR AGGREGATE LIABILITY IS LIMITED TO ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations. In those places, our liability is limited to the greatest extent permitted.

11. Indemnity

You will defend and indemnify eListSync against claims arising from Customer Content, your marketplace accounts, your violation of these Terms or of third-party terms, or your unlawful scraping or listing activity.

12. Suspension and termination

You may stop using the Service at any time and request workspace deletion via support@elistsync.com. We may suspend or terminate access immediately if you breach these Terms, if a destination revokes credentials, if required by law, or if continued operation presents a security or legal risk.

Upon termination we will cease processing new publishes. We may delete Customer Content after a reasonable wind-down period, except records we must keep for billing, security, or legal audit (including hashed legal-acceptance records where those exist).

13. Governing law

These Terms are governed by the laws applicable in the contracting jurisdiction we specify in an Enterprise order form, or otherwise by the laws of Pakistan, without regard to conflict-of-law rules. Courts with jurisdiction in that place have exclusive venue, except that we may seek injunctive relief in any forum to protect intellectual property or confidential information.

14. Miscellaneous

These Terms, the Privacy Policy, the DPA (when applicable), and any Enterprise order form are the entire agreement. If a provision is unenforceable, the rest remains in effect. You may not assign the Service without our consent; we may assign to an affiliate or in a merger or sale of assets. Failure to enforce a provision is not a waiver.
